Board of Trustees at Green Concern for Development (GREENCODE)


Green Concern for Development (GREENCODE) is a National registered NGO with CAC and has been in operation for over 10 years. Our mission is to work with the poor and socially excluded people and government for the promotion of environmental and human rights protection in communities in Nigeria, aimed at poverty reduction through education, information sharing, research, training and direct impact interventions are in humanitarian emergency response and development, with physical presence in Borno, Yobe, Adamawa, Abuja, Cross River, Akwa Ibom states.

We are recruiting to fill the position below:

Job Title: Board of Trustee

Location: Nigeria

The Role of Trustee

  • The Board is responsible for the oversight of finances, management, and performance of the GREENCODE, as well as managing conflict of interest within the Board, Management and staff. resolving conflicts of interest. Not gaining materially or financially unless specifically authorised to do so.
  • The Board is supported by an International Advisory Committee made up of representatives from in and outside of GREENCODE communities.
  • The new Trustees would be joining the Board of a highly visible, diverse and growing team with a motivated, effective and committed operations team.
  • New Board members will be instrumental in further supporting GREENCODE as it moves into its next stage of organisational maturity and delivers on a 5-year strategy that runs to 2025.
  • GREENCODE’s board meet at least 4 times per year plus other emergency meeting s including electronic communications among the board members and management whenever the need arises.
  • The Board members are also expected to be available to provide advice and comments between meetings.
  • Board members will be appointed for a term of 5-year, with the opportunity to renew for one further/final 5-year term, total of (10 years).

Duties and Responsibilities

  • Commitment and public support to the aims objectives and work of GREENCODE.
  • Willingness to devote the needed time and effort to support GREENCODE, including being part of a working group or committee, if required.
  • Be knowledgeable, skilled and experienced in one or more areas of Board governance.
  • Willingness to actively contribute to Board discussions and decision -making.
  • Understanding and acceptance of the legal duties, responsibilities and liabilities of trustees.
  • Ability to work effectively as a member of a team and to foster a positive working relationship with other Board members, management and staff.
  • Overview of the issues which affect GREENCODE.
  • Adherence to the GREENCODE Trustees’ Code of Conduct/Trustee Information Package [draft below]
  • Willingness to act as ambassador and advocate to furthering GREENCODE work.
  • Participating in the strategic planning process
  • Setting goals and objectives and reviewing progress
  • Approval and monitoring of annual plans and budget
  • Approval of Annual Programme and Narrative reports
  • Approval of investment policies (if need be)
  • Approval of grant policies and grant applications for large and multiple years grants.
  • Approval of operating expenditure outside budgets and delegations
  • Appointing the National Coordinator and delegating levels of authority to the National Coordinator.
  • Ensuring compliance with all statutory obligations
  • The Trustees annually elect a Chair and set-up sub-committees
  • Sub-committees include Audit and Risk, Conflict of Interest and National Coordinator Performance Review committee.
  • Act within the governing document and the law – being aware of the contents of the GREENCODE’s governing document and the law as it applies to.
  • Act in the best interests of GREENCODE as a whole – considering what is best for the organization, partners/donors and its beneficiaries and avoiding bringing it into disrepute.
  • Manage conflicts of interest effectively – registering, declaring and resolving conflicts of interest. Not gaining materially or financially unless specifically authorised to do so.
  • Respect confidentiality – understanding what confidentiality means in practice for an organisation, its board and the individuals involved.
  • Have a sound and up-to-date knowledge of the organisation and its environment, understanding how the organisation works and the environment within which it operates.
  • Attend meetings and other appointments or give apologies – engaging in discussions and decision-making processes.
  • Prepare fully for meetings and all work for the organisation – reading papers, querying unclear or difficult things and thinking through issues in good time before meetings.
  • Actively engage in respectful discussion, debate and voting in meetings – contributing positively, listening carefully, challenging sensitively and avoiding conflict.
  • Act jointly and accept a majority decision – making decisions collectively, standing by them and not acting individually unless specifically authorised to do so.
  • Work considerately and respectfully with all – respecting diversity, different roles and boundaries, and avoiding giving offence.
  • Ensure that GREENCODE complies with CAC law, and any other relevant legislation or regulations.
  • Ensure that GREENCODE complies with its Memorandum and Articles of Association (constitution) and pursues its objects set out therein.
  • Ensure the financial stability of the organisation.
  • Contribute actively to the Board of Trustees’ role in giving strategic direction to the organisation, setting policies and evaluating performance against agreed targets.
  • Ensure that GREENCODE is a responsible employer
  • Act with care, diligence and skill within the powers of the Board.
  • Safeguard the reputation and values of Northern Print
  • In addition, each trustee should use any specific skills, knowledge or experience they have to help the Board of Trustees reach sound decisions and provide guidance and support to the Director, management and staff team as appropriate.

Skills and Attributes Required
Trustees collectively must have skills or experience in the following areas:

  • Financial management and oversight, especially as it relates to non-profit organisations;
  • Successful track record in grant making/resource mobilisation and good relationship with funders/donors
  • NGO governance.
  • Community and voluntary sector involvement.
  • Strategic thinking.
  • Leadership skills.
  • Legal expertise.
  • Experience in advocacy and engagement with local, state & federal government, business, funders and non-government agencies
  • Experience of human resource oversight and management.
  • Experience in accountable governance and social/environmental justice
  • Experience in humanitarian experience.
