Terms of Reference Organizational Development – Consultancy At Orange


  1. Background:

Orange is a non-governmental civil society organization devoted to alleviating suffering and improving the sustainability mechanisms of the conflict-affected population. Since its establishment, Orange has partnered directly with affected Syrian populations, delivering programs spanning sectors, including humanitarian and development programs in the Early Recovery and Livelihoods, Food Security and agriculture, Education and Protection, WASH, and Shelter, in addition to long-term impact interventions focusing on the economic empowerment and the local value chains improvements to enable targeted communities to improve their living practices and their sustainable mechanisms. Orange collaborates with various national and international non-governmental organizations, as well as local initiatives, to adopt a community-based approach that improves the response’s impact on the humanitarian crisis and provides sustainable and alternative solutions.

  1. Purpose Of the Assignment:

The main objective of the assignment is to conduct a gap analysis and organizational assessment for Orange. This will involve evaluating current systems, procedures, and structures to identify areas for improvement. Based on this analysis, recommendations will be provided for necessary policies and any missing functions to enhance Orange’s effectiveness in achieving its strategic plans, ensuring continuous improvement, and optimizing organizational performance. The goal is to implement targeted interventions that foster sustainable organizational growth and development.

  1. Scope Of Work

The scope of the organizational development consultancy shall include, but not be limited to:

Assessment of Organizational Structure:

  • Evaluate the hierarchy, governance, functions, systems, policies, reporting lines, and departmental functions.
  • Assess the inclusiveness and representation of women in leadership and key decision-making roles.
  • Examine the integration of community participation in organizational governance and strategic planning.
  • Review the work environment to ensure it supports diversity, equity, and inclusion, and fosters a culture of respect and collaboration.

Examination of Communication Channels and Processes:

  • Analyze internal communication channels, feedback mechanisms, and decision-making procedures.
  • Assess the effectiveness of communication strategies in promoting women’s participation and addressing their concerns.
  • Assess the effectiveness of communication strategies in promoting Gender Equality and Social Inclusion (GESI) and addressing the concerns of diverse groups within Orange.
  • Evaluate the involvement of the community in communication processes and feedback loops.
  • Identify areas for improvement in the work environment that enhance transparent and inclusive communication.

Evaluation of Technology Infrastructure:

  • Review technology infrastructure, systems, and tools supporting organizational operations and collaboration.
  • Ensure that technology solutions are accessible and promote the participation of women and community members.
  • Assess the impact of technology on creating a supportive and inclusive work environment.

Policy Development and Alignment:

  • Develop and agree on new policies in line with Orange’s size and operations.
  • Ensure policies are inclusive and promote women’s participation at all organizational levels.
  • Integrate community participation into policy development processes.
  • Create policies that foster a positive work environment, emphasizing safety, well-being, and inclusivity.

Meetings with Orange SMT

  • Conduct progress and final meetings with the Senior Management Team to agree on the final version of the assessment report.
  • Discuss findings related to women’s participation, community involvement, and the work environment.
  • Develop action plans and recommendations to enhance organizational structure, communication, technology, and policies.
  1. Key Deliverables:

The organizational development firm shall provide the following deliverables:

  • Organizational Development Plan: A detailed plan outlining the strategies, goals, and timelines for implementing recommended changes and initiatives to improve organizational effectiveness and performance.
  • Assessment of the accessibility of technology solutions in promoting women’s participation and community involvement.
  • Evaluation of the impact of technology on creating a supportive and inclusive work environment.
  • Detailed action plans and recommendations to enhance organizational structure, communication, technology, and policies, focusing on women’s participation, community involvement, and the overall work environment.
  • Comprehensive report combining findings from all assessments.
  • Executive summary highlighting key findings and recommendations.
  • Presentation to the Senior Management Team summarizing the assessment results and proposed action plans.
  • Organizational Assessment Report: A comprehensive report outlining the findings from the assessment phase, including strengths, weaknesses, opportunities, and threats affecting the organization.

  1. Timeframe

The organizational development firm is expected to commence on 15th July 2024 and last for 15 working days. It shall provide a detailed timeline and schedule of activities upon acceptance of the engagement. The Consultant/firm will report directly to the SMT.

  1. Skills/Competencies:

The organizational development firm/consultant must demonstrate the following qualifications:

  • Accreditation and licensure to practice organizational development in the jurisdiction where Orange operates.
  • Experience conducting organizational development for non-profit organizations specially the humanitarian ones
  • Independence, impartiality, and integrity in conducting organizational development engagements.
  • The ability to analyze complex organizational structures, processes, and systems to identify areas for improvement and develop data-driven solutions.
  • The capacity to think strategically and develop long-term plans and initiatives aligned with the organization’s mission, vision, and goals.
  • Excellent Knowledge of organizational development theories, models, and best practices to guide the design and implementation of effective organizational development interventions.
  1. Selection Criteria:

The selection of the organizational development firm will be based on the following criteria:

  • Experience and expertise in organizational development of non-profit and international development organizations.
  • Quality and completeness of the proposal.
  • Cost-effectiveness and value for money.
  • Availability to commence organizational development within the specified timeline.
  • The firm/consultant team must have English language skills in writing and speaking.
  • Organizational development firm staff assignments and availability to complete the organizational development on a timely basis.
  • Participation of senior organizational development personnel assigned to the engagement.

Interested organizational development firms/consultants are invited to submit their proposals, including:

  • Company profile and overview of relevant experience.
  • Proposed organizational development approach and methodology.
  • Team composition and qualifications of key personnel.
  • Proposed fee structure and payment terms.
  • Any additional information or documentation deemed relevant.
  • Detailed work plan to complete the organizational development.
  • The financial offer should include all other expenses that will be incurred.
  1. Confidentiality:

The organizational development firm shall maintain strict confidentiality regarding all information obtained during the course of the organizational development in accordance with professional standards and applicable laws.
